Terms of Service

Please read carefully. These Terms include a binding arbitration agreement and a class-action waiver in Section 21 that affect your legal rights. You may opt out of the arbitration agreement within 30 days of first accepting these Terms by following the instructions in Section 21.
These Terms of Service (“Terms”) form a binding agreement between you and Phaeto (“Phaeto”, “we”, “our”, “us”), a service operated by Mike Verinder. By creating an account, downloading the Phaeto iOS application, or using phaeto.com, you agree to these Terms. If you do not agree, do not use Phaeto.
1. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account. If you are between 13 and 17, you may use Phaeto only with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf and accepts responsibility for your use. Phaeto is not directed at children under 13 and we do not knowingly collect personal data from anyone under 13. You may not use Phaeto if you are located in, organized under the laws of, or ordinarily resident in a country subject to comprehensive U.S. embargo (currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine), or if you are on any U.S. or other applicable sanctions list.
2. The service
Phaeto is a tool that helps job seekers tailor resumes to specific roles, measure fit, and discover warm introductions to companies they're targeting. Features and limits depend on your plan tier. We may add, change, suspend, or discontinue any feature at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the service or any feature.
3. Beta features
From time to time we may make features available that are labeled “beta,” “preview,” “experimental,” or similar (a “Beta Feature”). Target Companies is currently a Beta Feature. Beta Features are provided for evaluation, may not work as expected, may be changed, limited, or removed at any time without notice, and may have additional restrictions on use. Beta Features are provided “AS IS” with no representation, warranty, or service level commitment of any kind. Your use of a Beta Feature is at your own risk. We may end your access to a Beta Feature at any time and for any reason.
4. Account
You access Phaeto by signing in with Apple. One person may maintain one active account. You are responsible for all activity that occurs under your account, including all use by anyone you permit to access it. Notify us promptly at support@phaeto.com if you become aware of any unauthorized use. You may not transfer your account, share your account, or resell access.
5. Subscriptions, payments, and auto-renewal
Phaeto offers Free, Lite, Premier, and Max subscription tiers. Paid subscriptions are sold and processed exclusively through Apple's In-App Purchase system on the iOS application. A paid iOS subscription also unlocks access to the corresponding tier on phaeto.com when you sign in with the same Apple ID; we do not process payments through phaeto.com.
Paid subscriptions auto-renew at the end of each billing period (monthly or yearly, depending on the SKU you purchased) and your Apple ID will be charged the then-current price unless you cancel at least 24 hours before the end of the current period. You can manage and cancel your subscription at any time in iPhone Settings › [your name] › Subscriptions. Cancellation takes effect at the end of the current paid period; tier benefits remain active until then.
Apple is the merchant of record for all iOS subscription transactions. Apple's billing terms, refund policy, family sharing settings, and tax handling apply. Any subscription dispute involving billing, refunds, or charges must be resolved with Apple directly through the App Store. Phaeto cannot issue, reverse, or refund Apple-billed transactions.
6. No refunds from Phaeto
Except where required by law and except as Apple may grant under its own refund policy, all purchases are final and non-refundable. We do not prorate refunds for partial billing periods, unused monthly run quota, downgrades, or account closures. If you believe you were charged in error, contact Apple Support.
7. Free tier and quota
Free accounts are limited to a fixed number of tailoring runs per 30-day rolling period. We reserve the right to change the quantity, price, or features of any tier prospectively. Quota is enforced server-side; attempts to bypass it are a violation of these Terms.
8. Bring Your Own Key (BYOK)
You may supply your own OpenAI or Anthropic API key. When BYOK is active, your tailoring requests are billed by the AI provider directly to your account with that provider, under that provider's terms. You are solely responsible for your provider account and any charges incurred under it. BYOK keys are transmitted with each request and not retained on our servers after the request completes.
9. Your content
You retain ownership of the content you supply to Phaeto, including your resume text, job descriptions, imported contacts, calendar metadata, and tailored outputs (collectively, your “Content”). By providing Content, you grant Phaeto a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, transmit, and process your Content solely as needed to operate, secure, and provide the features you request. This license terminates when you delete the Content or close your account, except for backup copies retained on the backup-rotation schedule described in our Privacy Policy. We do not use your Content to train AI models. We do not sell your Content.
You represent that you own or have all rights and permissions necessary to provide the Content you upload, including any imported contacts, and that your Content does not violate any third party's rights or any law. You are solely responsible for the legality and accuracy of your Content.
10. Acceptable use
You agree not to:
- Submit content that is illegal, fraudulent, defamatory, harassing, infringing, or that violates the rights of others.
- Import contacts you do not have a reasonable basis to hold (for example, purchased lead lists or scraped data).
- Use Phaeto to spam, send unsolicited messages, or harvest contact information for marketing.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of Phaeto, except to the extent that such restriction is expressly prohibited by law.
- Probe, scan, or test the vulnerability of any system or network, or breach or circumvent any security or authentication measure, including server-side rate limits and quota.
- Use any robot, scraper, crawler, or automated means to access or extract data from Phaeto.
- Resell, sublicense, or commercially exploit Phaeto or any output of Phaeto.
- Use Phaeto to develop a competing product or service.
- Misrepresent your identity or affiliation, or falsify headers or identifiers.
- Interfere with or disrupt the service, the servers or networks connected to it, or other users' access.
We may investigate any suspected violation, suspend or terminate accounts at our discretion, and report unlawful activity to authorities. We are not liable to you for any action we take in good-faith enforcement of this section.
11. AI output disclaimer
Phaeto's tailored resumes, Fit Scores, warm-signal matches, and other generated results are produced or computed by software, including third-party AI models (OpenAI, Anthropic). AI output may be inaccurate, incomplete, fabricated, biased, or otherwise unreliable. You are solely responsible for reviewing every output before using it for any purpose, including before sending it to a recruiter, applying to a job, or making any career decision. Phaeto does not guarantee any job interview, job offer, salary outcome, hiring decision, or other result, and disclaims all liability for outcomes arising from your reliance on Phaeto's output.
12. Privacy
Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using Phaeto, you acknowledge that you have read the Privacy Policy.
13. Intellectual property
Phaeto, including the Phaeto iOS application, the phaeto.com website, the Phaeto name and brand, the Phaeto logos, the user interface, the underlying software, the documentation, and all related intellectual property, is owned by us and our licensors and is protected by copyright, trademark, and other laws. We grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use Phaeto for your internal personal job-search use, subject to these Terms. All rights not expressly granted are reserved.
14. Feedback
If you send us feedback, suggestions, ideas, bug reports, or feature requests (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, sublicensable license to use, modify, incorporate, and exploit the Feedback for any purpose, with no obligation to compensate you or to credit you. You waive any moral rights in the Feedback to the extent permitted by law.
15. Third-party services
Phaeto integrates with third-party services that we do not control, including Apple (sign-in, in-app purchases, push), Apple Contacts and EventKit (on iOS), OpenAI, Anthropic, Supabase, and Vercel. Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the availability, content, accuracy, or practices of any third-party service.
16. Apple-specific terms (iOS application)
The following terms apply to your use of the Phaeto iOS application acquired through the Apple App Store. They supplement, and where in conflict supersede, the rest of these Terms with respect to the iOS application only.
- Acknowledgement.These Terms are between you and Phaeto only, and not with Apple Inc. (“Apple”). Apple is not responsible for the iOS application or its content.
- Scope of license. Your license to use the iOS application is limited to a non-transferable license to use the application on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the iOS application may be accessed and used by other accounts associated with the purchaser via Family Sharing or volume purchasing.
- Maintenance and support. Phaeto, not Apple, is solely responsible for providing any maintenance and support services with respect to the iOS application. You acknowledge that Apple has no obligation to furnish any maintenance or support services in relation to the iOS application.
- Warranty.Phaeto is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the iOS application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the iOS application to you. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the iOS application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are Phaeto's sole responsibility.
- Product claims.Phaeto, not Apple, is responsible for addressing any claims by you or any third party relating to the iOS application or your possession or use of it, including: (a) product liability claims; (b) any claim that the iOS application fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation, including in connection with the iOS application's use of HealthKit and HomeKit (not applicable here, but called out for completeness).
- Intellectual property.In the event of a third-party claim that the iOS application or your use of it infringes that third party's intellectual property rights, Phaeto, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
- Legal compliance.You represent that you are not located in a country that is subject to a U.S. Government embargo or has been designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- Third-party beneficiary.You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms with respect to your license to the iOS application, and that, upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
17. Disclaimer of warranties
Phaeto and all related software, content, and services are provided “AS IS” and “AS AVAILABLE,” with all faults and without warranty of any kind. To the maximum extent permitted by applicable law, we and our licensors and suppliers expressly disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and any warranties arising from course of dealing, course of performance, or usage of trade. We do not warrant that Phaeto will be uninterrupted, error-free, secure, or free of harmful components, or that any data you transmit will be transmitted without loss or corruption. No advice or information, oral or written, obtained from us or through Phaeto, will create any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the foregoing exclusions apply to the maximum extent permitted by law.
18. Limitation of liability
To the maximum extent permitted by applicable law, in no event will Phaeto, its affiliates, officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including damages for loss of profits, revenue, data, business, opportunity, goodwill, or other intangible losses, arising out of or in connection with these Terms or your use of or inability to use Phaeto, whether based on contract, tort (including negligence), strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.
In any event, our total cumulative liability arising out of or relating to these Terms or Phaeto, regardless of the form of action, will not exceed the greater of (a) the total amount you paid to Phaeto in the twelve months immediately preceding the event giving rise to the claim, or (b) USD $100.
The limitations and exclusions in this section apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
19. Indemnification
You will defend, indemnify, and hold harmless Phaeto and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your Content; (b) your use or misuse of Phaeto; (c) your violation of these Terms; (d) your violation of any law or any right of any third party, including any right of privacy or intellectual property right; or (e) any dispute between you and a third party (including any recipient of your Content). We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will fully cooperate with us. You will not settle any matter without our prior written consent.
20. Termination and suspension
You may stop using Phaeto at any time. To delete your account, email support@phaeto.com from the address associated with your account.
We may suspend or terminate your access to all or part of Phaeto at any time, with or without notice, with or without cause, and without liability to you, including (without limitation) if we believe you have violated these Terms, if your account has been compromised, if continued provision is no longer commercially viable, or if required by law. Upon termination, your right to use Phaeto ends immediately, and we may delete or retain your data as described in our Privacy Policy. Sections 9 (your content license), 10 (acceptable use, surviving violations), 11 (AI disclaimer), 13 (IP), 14 (feedback), 17 (warranty disclaimer), 18 (limitation of liability), 19 (indemnification), 21 (arbitration), 22 (governing law and jury-trial waiver), 23 (time limit on claims), and 28 (miscellaneous) survive any termination.
21. Binding arbitration and class action waiver
Please read this section carefully. It affects your legal rights, including your right to bring or participate in a court action or class action.
Agreement to arbitrate.You and Phaeto agree that any dispute, claim, or controversy arising out of or relating to these Terms or to Phaeto, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory (a “Dispute”), will be resolved exclusively by binding individual arbitration, and not in a court, except as provided below. This includes Disputes about the formation, scope, or enforceability of this arbitration agreement.
Exceptions.Nothing in this section prevents either party from (a) bringing an individual claim in small-claims court for Disputes within that court's jurisdiction, (b) seeking equitable relief in court for actual or threatened infringement, misappropriation, or violation of intellectual property rights, or (c) reporting unlawful conduct to a government authority.
Arbitration rules and forum.The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, available at www.adr.org. If the AAA is unavailable or refuses to administer the arbitration, the parties will agree on an alternative arbitration provider, or, failing agreement, a court of competent jurisdiction will appoint one. The arbitration will be conducted by a single neutral arbitrator. The seat of the arbitration is the county of your residence; any in-person hearing, if either party requests one, will be held there or at another mutually agreed location, or by video. The arbitrator will apply the law of the State of Delaware (without regard to its conflict-of-laws rules) and the Federal Arbitration Act. Judgment on the award may be entered in any court of competent jurisdiction.
Class and representative action waiver.You and Phaeto each agree that any Dispute will be brought in the party's individual capacity only, and not as a plaintiff or class member in any purported class, collective, consolidated, representative, or private-attorney-general action. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. If this class-and-representative-action waiver is found unenforceable, then the entirety of this Section 21 (other than this sentence) is null and void, and the Dispute will proceed in court.
30-day right to opt out. You may opt out of this arbitration agreement and the class waiver above by sending a written opt-out notice to support@phaeto.com with the subject line “Arbitration Opt-Out” within 30 days of the date you first accepted these Terms (or, if these Terms are later amended in a way that materially changes this section, within 30 days of that amendment). The notice must include your full name, the email address associated with your account, and a clear statement that you opt out of the arbitration agreement. If you opt out, this Section 21 will not apply to you, but the rest of these Terms will remain in full effect.
Severability. If any portion of this Section 21 other than the class-and-representative-action waiver is found unenforceable, that portion will be severed and the remainder will be enforced.
22. Governing law and jury-trial waiver
These Terms and any Dispute not subject to arbitration are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws principles. Subject to Section 21, the exclusive venue for any Dispute that proceeds in court will be the state and federal courts located in New Castle County, Delaware, and you and Phaeto each consent to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Notwithstanding the foregoing, where you reside in a jurisdiction whose mandatory consumer-protection laws grant you rights that cannot be waived by contract, those rights apply.
To the extent a Dispute is not subject to arbitration, you and Phaeto each knowingly, voluntarily, and irrevocably waive any right to a jury trial of any Dispute. This waiver applies to any action, claim, or counterclaim, whether sounding in contract, tort, or otherwise. This waiver is intended to be effective even if Section 21 is found unenforceable for any reason.
23. Time limit on claims
Any Dispute or claim against Phaeto must be commenced (filed in arbitration or, where Section 21 does not apply, in court) within one (1) year after the cause of action arises; otherwise it is permanently barred. This shortened limitation period applies to the maximum extent permitted by applicable law and does not apply where local law prohibits its enforcement against you.
24. Force majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil disturbance, labor disputes, internet or third-party service outages (including any disruption to our hosting provider, AI providers, or payment processors), governmental orders, pandemics, or shortages of materials.
25. Changes to these Terms
We may update these Terms from time to time. If we make a material change, we will post the updated Terms on this page with a new “Last updated” date and, where reasonable under the circumstances, notify you in the app. Material changes take effect 30 days after posting unless they relate to new features or are required by law, in which case they take effect when posted. Continuing to use Phaeto after changes take effect constitutes acceptance of the updated Terms.
26. Changes to the service
We may add, remove, change, suspend, deprecate, or discontinue all or any part of Phaeto, any feature, any plan tier, any plan limit, or any pricing, at any time and at our sole discretion. Where reasonably practicable, we will provide reasonable notice of changes that materially reduce a paid feature you currently rely on.
27. Notices
We may give you notices by email to the address associated with your account, by an in-app message, or by posting on phaeto.com. You may give us legal notices by email to support@phaeto.com with the subject line “Legal Notice.”
28. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any plan-specific terms, constitute the entire agreement between you and Phaeto regarding Phaeto, and supersede all prior or contemporaneous agreements, communications, and proposals on the subject.
- Severability. If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or, if it cannot be so modified, severed; the remaining provisions continue in full force.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign or transfer these Terms or any rights or obligations under them, whether by operation of law or otherwise, without our prior written consent. Any attempted assignment in violation of this provision is void. We may assign these Terms in whole or in part, including in connection with a merger, acquisition, sale of assets, or by operation of law, without notice to you.
- No agency. No joint venture, partnership, employment, or agency relationship exists between you and Phaeto as a result of these Terms or your use of Phaeto.
- Headings. Section headings are for convenience only and do not affect interpretation.
